1. Service Description

Hypelive Studio ("we," "our," or "us") provides creative commerce solutions including live commerce streaming, AI content creation, and influencer marketing services ("Services") to businesses and individuals ("you" or "Client").

2. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you may not use our Services.

3. Service Engagement

3.1 Minimum Commitment

Most services require a minimum 3-month engagement period as outlined in individual service agreements.

3.2 Service Scope

The specific scope, deliverables, and timeline will be defined in a separate Statement of Work (SOW) or Service Agreement.

4. Payment Terms

4.1 Pricing: Pricing is as specified in the agreed rate card or custom quotation.

4.2 Payment Schedule: Unless otherwise agreed, payment is due within 30 days of invoice date.

4.3 Late Payments: Late payments may incur interest at 1.5% per month or the maximum allowed by law.

4.4 Currency: All prices are in Thai Baht (฿) unless otherwise specified.

5. Intellectual Property

5.1 Client Content

You retain all rights to content you provide. You grant us a license to use this content solely for providing Services.

5.2 Deliverables

Upon full payment, you own the final deliverables created specifically for you. We retain rights to templates, tools, and methodologies used.

5.3 Portfolio Usage

We may showcase work in our portfolio unless explicitly prohibited in the service agreement.

6. Client Obligations

  • Provide timely feedback and required materials
  • Ensure provided content does not infringe third-party rights
  • Maintain transparent communication
  • Provide accurate business information

7. Service Availability

While we strive for 24/7 availability for live commerce services, we do not guarantee uninterrupted service. Planned maintenance will be communicated in advance when possible.

8. Limitation of Liability

To the maximum extent permitted by law, Hypelive Studio shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim in the 12 months preceding the claim.

9. Termination

9.1 By Client

You may terminate with 30 days written notice. Early termination fees may apply as per service agreement.

9.2 By Hypelive

We may terminate immediately for breach of terms, non-payment, or other valid reasons with written notice.

10. Confidentiality

Both parties agree to keep confidential information disclosed during the engagement confidential and not disclose it to third parties without consent, except as required by law.

11. Governing Law

These Terms are governed by the laws of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of material changes. Continued use of Services after changes constitutes acceptance.
